Terms of Use

1. Agreement
These terms are a contract between the organization you represent ("Customer", "you") and Sagien, LLC ("Sagien", "we"). By creating a workspace or using the service you confirm you have authority to bind that organization. Sagien is a business tool and is offered for business use.
2. The service
Sagien processes interview transcripts and related documents you upload, using AI models to extract insights, quotes, and summaries and to generate presentation drafts within your workspace.
3. Accounts and workspaces
- Keep registration information accurate and credentials secure; you are responsible for activity under your accounts.
- Seats are for individual named users within your organization and may not be shared.
- Workspace administrators control member access and are your organization's point of contact for the workspace.
4. Subscriptions and billing
- Plans include a monthly allocation of transcript units; a unit covers one uploaded interview up to approximately one hour (~10,000 words), and longer interviews up to two hours use two units. Plan limits (projects, seats, presentations, rollover) are as described at purchase.
- Unused-unit rollover, where included, follows the plan's stated window and cap.
- Plan changes take effect per the billing settings shown in your workspace. During the beta, billing may be partly or fully disabled and prices may change with notice before general availability.
- Fees are exclusive of taxes, which you are responsible for where applicable.
5. Your content
- You retain all rights to the transcripts and documents you upload and to the outputs generated in your workspace.
- You grant us a limited license to host, process, and transmit that content solely to provide the service, including processing by the AI providers listed in our Privacy Policy.
- You are responsible for your content. You represent that you have all rights, consents, and legal bases needed to upload it — including for personal data of interview participants — and that uploading it does not breach any agreement binding on you, such as expert-network or recording-consent terms.
6. AI-generated output
Outputs are machine-generated drafts. They may contain errors, omissions, or mischaracterizations of the source material, and they are not professional, legal, financial, or investment advice. You are responsible for reviewing outputs before relying on them or sharing them with clients.
7. Acceptable use
- No unlawful content or use, and no uploading of content you lack rights to process.
- No circumventing usage limits, metering, or access controls; no automated scraping or load testing without written consent.
- No reverse engineering, reselling, or providing the service to third parties outside your organization.
8. Confidentiality and data protection
We treat your content as your confidential information and process personal data as described in the Privacy Policy. A data processing agreement is available on request.
9. Intellectual property
The service, including its software, design, and documentation, is owned by Sagien and its licensors. If you send us feedback, we may use it without restriction or obligation.
10. Availability and support
During the beta we aim for high availability but commit to no SLA; maintenance windows and interruptions may occur. We will make reasonable efforts to provide notice of significant downtime. You can request an export of your content at any time.
11. Disclaimer of warranties
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy of outputs, and non-infringement, to the maximum extent permitted by law.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data; and each party's total aggregate liability under these terms is capped at the fees you paid to Sagien in the twelve months preceding the claim. These limits do not apply to your payment obligations, your breach of Section 5 or 7, or either party's liability that cannot be limited by law.
13. Indemnification
You will defend and indemnify Sagien against third-party claims arising from your content or your breach of Section 5 or 7.
14. Termination
- Either party may terminate at any time; termination stops future billing at the end of the current cycle.
- We may suspend or terminate for material breach of these terms, with notice where practicable.
- After termination you have 30 days to request an export of your content, after which it is deleted per the Privacy Policy's retention terms.
15. Governing law
These terms are governed by the laws of the State of Maryland, United States, and disputes are subject to the exclusive jurisdiction of its courts.
16. Changes
We may update these terms; material changes will be notified by email or in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
